Please read this carefully. By purchasing an Ocado Saving Pass on this website you are agreeing to the terms that appear below which will apply to all purchases of Saving Passes by Ocado customers.

How an Ocado Saving Pass works
An Ocado Saving Pass allows you buy an annual membership for one or more product groups and to receive a fixed percentage discount (against the current Ocado selling price) on the products within those group(s). The discounts are available (and fixed) for the duration of your membership to a product group i.e. a year or longer if your Ocado Saving Pass membership is renewed.

1 PURCHASE OF OCADO SAVING PASS MEMBERSHIP
- 1.1 This website is operated by Ocado Limited ("we", "us" or "our"). Purchase and use of an Ocado Saving Pass is governed by these Terms and Conditions, Ocado's standard Terms and Conditions of purchase and its Privacy Policy.
- 1.2 An Ocado Saving Pass membership is only available to end consumers 18 years or older using Ocado for private use and is not available for Business Customers, legal entities or for customers who purchase items for business use or for the purpose of resale.
- 1.3 You must have an Ocado account to sign up for and use an Ocado Saving Pass. We reserve the right to accept or refuse membership at our discretion. Your contract for your Ocado Saving Pass will begin once you receive email confirmation of your Saving Pass membership(s).You may not transfer or assign your Ocado Saving Pass membership(s) or the benefits of such membership(s).
- 1.4 Your Ocado Saving Pass membership is personal and tailored to suit you.

2 MEMBERSHIP FEE, CANCELLATION AND RENEWAL
- 2.1 The relevant Ocado Saving Pass membership fee will be the fee displayed on the Ocado website at the time you purchase your Saving Pass membership or when your membership is renewed. This fee is non-refundable except as expressly set out below. Payment of the membership fee will entitle you to membership of the relevant Ocado Saving Pass group(s) that you have chosen to belong to.
- 2.2 You may sign up for the Total Saving Pass, which will give you access to all of the savings available with the Ocado Saving Pass. Alternatively, you may decide to sign up to one or more Ocado Saving Pass groups and may therefore have more than one Ocado Saving Pass membership(s). You may only have one membership per group.
- 2.3 You have the right to change your mind and cancel your Ocado Saving Pass membership within 7-working days (counted from the day after the acceptance of your membership is confirmed) provided you have not used your Saving Pass membership in that time. If you do decide to cancel you can do so by either:
- 2.3.1 accessing the "group overview" page of your Saving Pass account and clicking the "refund" button that is adjacent to the group whose membership you would like to cancel; or
- 2.3.2 send an e-mail to memberships@mailocado.com ,
- 2.4 You are not entitled to cancel your Ocado Saving Pass membership once this cooling-off period has expired or if you have received a delivery using your membership.
- 2.5 Your Ocado Saving Pass membership will be automatically renewed for 12-months on the same date in the first and any following membership years. We will contact you by email to remind you that your Ocado Saving Pass membership is due to be renewed 28-days prior to the relevant renewal date. Unless you notify us before renewal that you wish to cancel your Ocado Saving Pass membership or do not want to automatically renew, you understand that your Saving Pass membership will automatically renew and you authorise us to collect the then-applicable membership fee from the payment card we have on record for you. Your initial sign up to purchase an Ocado Saving Pass is an authorisation for us to use this payment card.
- 2.6 If, before renewal, you decide to cancel your Ocado Saving Pass or that you do not want it to automatically renew, please access the "group overview" page of your Saving Pass account and click the "cancel" button that is adjacent to the group whose membership you would not like to renew or call our call centre on 0845 399 1122.
- 2.7 Ocado reserves the right to change the membership fee for future renewals or memberships from time-to-time. We will contact you by email giving you 28-days' notice of any change in fees before they go into effect, which will take effect at the end of the relevant annual membership term. If you continue your Ocado Saving Pass after we change the membership fees, this shall constitute your acceptance of the fee changes and the payment card we have on record for you will be used to collect the new membership fee. If you do not agree to any fee changes, then you must cancel your Ocado Saving Pass membership by calling our call centre on 0845 399 1122.

3 OCADO SAVING PASS BENEFITS
- 3.1 For payment of an upfront fee, an Ocado Saving Pass membership entitles you to receive fixed discounts on selected branded products from Ocado within a Saving Pass group for the length of membership (and any renewal). Within a group, different products may have different discounts applied to them, which shall remain fixed for the length of membership (and any renewal).
- 3.2 Discounts are based on the Ocado selling price at the time of your purchase.
- 3.3 All orders that make use of your Ocado Saving Pass must meet any minimum purchase order requirements as set out in Ocado's Terms and Conditions of Purchase after the relevant Saving Pass discounts have been deducted.
- 3.4 Your Ocado Saving Pass membership begins on the day that Ocado confirms that your membership has been activated, and expires on the day before the date you originally purchased your Saving Pass membership unless such a date does not exist. If this is the case, then the renewal date will become the previous calendar day. For example, if your Saving Pass membership is due to be renewed on the 31st day of a month, there will be some instances when it will be renewed on the 30th day of a month.
- 3.5 Orders already placed when your Ocado Saving Pass membership is activated will be subject to the product prices applicable at that time (without any Saving Pass discount(s) applied) unless the delivery slot is changed once your Ocado Saving Pass membership has been activated (in which case the order shall then have the Saving Pass discounts applied to the relevant products as appropriate).
- 3.6 Your Ocado Saving Pass membership does not:
- 3.6.1 commit you to buying a set amount of the products from the Saving Pass groups of which you are a member;
- 3.6.2 restrict the amount of products that a member of a Saving Pass group may purchase, subject always clause 3.7 and the fair usage policy set out at clause 3.11 below; or
- 3.6.3 guarantee that the products contained in the Ocado Saving Pass groups of which you are a member will be in stock.
- 3.7 Ocado reserves the right to remove products from a Saving Pass group and to add products to a Saving Pass group, from time to time at its sole discretion. For example, if a product is delisted or discontinued then it will be removed from the relevant Saving Pass group.
- 3.8 Products offered by a Saving Pass group are subject to availability and prevailing market conditions. We may limit the quantities of products supplied to any one Ocado Saving Pass customer(s) if in our opinion the quantity ordered jeopardises availability for other Ocado Saving Pass customers.
- 3.9 In the event of non-availability of any products you order that are offered by a Saving Pass group which you are a member of, we may offer a reasonable substitute. This may affect the product price you pay, however, you will still receive the same percentage discount on the substitute product that you would have received had the original product in the Saving Pass group been available. You may reject any substitute item and we will refund the amount you have been charged for that substitute. It is our policy to identify any substitute items to you at the time of delivery and give you the opportunity to accept or reject the item at that time.
- 3.10 If a product contained within a Saving Pass group is also subject to a promotional offer on the Ocado website (for example: buy one, get one free) you will receive the larger discount of the two, but not both. For example, if we calculate that you will receive a larger saving from the promotional offer than the discount offered via the Saving Club group, then the promotional price will be applied (and not the group discount).
- 3.11 If you are a member of 2 or more groups and the same product is contained within more that 1 of those groups, you will receive the largest discount offered by the relevant Saving Pass group of which you are a member. For example, if baby lotion is included in both the Baby Group and the Toiletries Group, and the Baby Group offers the higher discount, then you shall receive the higher discount.
- 3.12 The Ocado Saving Pass membership is covered by a fair usage policy as set out below:
- 3.12.1 the Ocado Saving Pass may only be used by the named account holder and is not transferable; and
- 3.12.2 you must be, and Ocado reserves the right to request proof that you are, associated with your delivery address(es) i.e., the address is a temporary or permanent home or work address, and not the address of a friend or relative.
- 3.13 Ocado will issue Ocado Saving Pass members with regular emails providing information about the Saving Pass groups that they are members of, which you consent to receive by accepting these terms and conditions when you sign up for membership of a Saving Pass group.
- 3.14 Ocado reserves the right to change or withdraw your Ocado Saving Pass membership benefits (or any element of them) at any time. Ocado will contact you by email giving you 28- days' notice of any change to your membership benefits before they go into effect. If you feel that a change in your Ocado Saving Pass benefits is to your disadvantage, then please contact our call centre on 0845 399 1122. Otherwise, your continued membership after we notify you shall constitute your acceptance of these changes and you acknowledge that your right to these benefits will cease at the end of the notice period. Ocado will not be liable for any losses resulting from any changes to, or termination or withdrawal of, any Ocado Saving Pass benefits.
- 3.15 The discounts offered in each Saving Pass group(s) that you are a member of shall be applied to all Tesco Price Match products.

4 TERMINATION
- 4.1 Ocado reserves the right to monitor usage of your Ocado Saving Pass membership and to terminate such membership (upon notice) if it believes, in its sole discretion, that:
- 4.1.1 the Ocado Saving Pass membership is being used in breach of the fair usage policy;
- 4.1.2 if a customer is in breach of any other of the terms and conditions relating to the Ocado Saving Pass or the Ocado Terms and Conditions of Purchase; or
- 4.1.3 an Ocado Saving Pass member has engaged in conduct that involves fraud or misuse of their Saving Pass or is harmful to our interests.
- 4.2 If orders are not paid for in full or a customer's bank declines payment on a customer's bank card and as a result money is owing to Ocado, then Ocado reserves the right to suspend the customer's ability to place further orders on the Ocado website until such time as the outstanding balance has been paid in full. In this event, the Ocado Saving Pass member will forfeit the use of their Saving Pass membership for the period of the suspension and shall not be entitled to receive a refund of their membership fee or an extension to the duration of their Ocado Saving Pass membership.
- 4.3 Further, you understand that if the payment card we have on record for you is unavailable (in that we cannot successfully charge the then-applicable Ocado Saving Pass membership and/or renewal fee), all orders placed, until we are able to charge the applicable Saving Pass membership and/or renewal fee to your card, will not have any applicable Saving Pass discounts applied to those products in your order.
- 4.4 Our failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of our rights.
- 4.5 Subject to clause 3.13, Ocado reserves the right to make improvements or changes to these Terms and Conditions at any time (including without limitation the correction of errors, omissions, inaccuracies or ambiguities and to meet legal or regulatory requirements). If we make any material changes then we will contact you by email giving you 28-days' notice of any such changes. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
